storageandloadingandunloadingchargesetc.)shallbebornebytheSellers.Asregardsquality,theSellersshallguaranteethatif,withintheguaranteeperiodstipulatedinClause11ofthisContract,damagesoccurinthecourseofoperationbyreasonofinferiorquality,badworkmanshiportheuseofinferiormaterials,theBuyersshallimmediatelynotifytheSellersinwritingandputforwardaclaimsupportedbyInspectionCertificateissuedbyEntry&ExitInspectionandQuarantineBureauofChina.TheCertificatesoissuedshallbeacceptedasthebaseofaclaim.TheSellers,inaccordancewiththeBuyer’sclaimshallberesponsiblefortheimmediateeliminationofthedefect(s),completeorpartialreplacementofthecommodityorshalldevaluatethecommodityaccordingtothestateofdefect(s).Wherenecessary,theBuyersshallbeatlibertytoeliminatethedefect(s)themselvesattheSellers’expense.IftheSellersfailtoanswertheBuyerswithinonemonthafterreceiptoftheaforesaidclaim,theclaimshallbereckonedashavingbeenacceptedbytheSellers.13.不可抗力FORCEMAJEURE：在制造、装卸或运输过程中由于不可抗力因素导致延迟交货，卖方不承担责任。但卖方必须在事发后14天内将上述事故的记载及买方可接受的当地政府主管部门出示的有关偶然事故的证明通过航空快件发给买方，在这样的处境下，卖方仍需尽力采取必要的措施保证尽快的供货，如果事故持续超过10周，买方将有权撤消未发货的订单，或延迟交货时间。秘书之家—全网资源每日更新www.mishuzj.comTheSellersshallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,suchaswar,seriousfire,flood,typhoonandearthquake,orothereventsagreeduponbetweenbothparties,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,theBuyersatitsoptionmaydeletetheundeliveredgoodsfromitspurchaseorderorappropriatelyextendthetimeofdelivery.TheBuyersshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisContractduetoForceMajeure.14.延迟交货和罚款LATEDELIVERYANDPENALTY：除本合同第十四条中不可抗力因素引起外，如果卖方未能按合同规定如期交货，若卖方同意赔款并从付款银行扣除罚款，买方应同意延迟交货。罚款不能超过延迟交货商品总价的5%。罚款率为每7天0.5%，未超过7天时按7天计。卖方若延迟交货超过合同规定日期10周，买方有权解除合同，或要求限期交货并向买方支付罚款。ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMajeurecausesspecifiedinClause14ofthisContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthepayment.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.5%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocancelthecontractandtheSellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.15.仲裁ARBITRATION：与本合同有关的或由执行本合同引起的矛盾应通过友好协商解决。如无法达成协议，应提交仲裁。仲裁在中国北京进行，并由中国国际贸易促进委员会所属的对外经济贸易仲裁委员会按照仲裁机构暂行的规定进行仲裁。仲裁结果应作为双方的最终约束。任何一方不得向法庭或其他协会申请修改仲裁结果，仲裁费用由败诉方承担。仲裁期间，双方应继续执行本合同中除仲裁条款外的其他条款。AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtoChinaInternationalEconomicandTradeArbitrationCommissioninaccordancewithitsRulesofArbitrationpromulgatedbythesaidArbitrationCommission.TheArbitrationshalltakeplaceinBeijingandthedecisionoftheArbitrationCommissionshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisionofthedecision.Arbitrationfeeshallbebornebythelosingparty.InthecourseofArbitration,bothpartiesshallcontinuetoexecutethepresentContractexceptthoseunderarbitration.16.特殊条款SPECIALPROVISIONS:Inwitnessthereof,thisContractismadeEnglishandChinese,bothofwhichshallhaveequalstatusinlaw,signedbybothpartiesintwooriginalcopies;eachpartyholdsonecopy.Signedbyfaxiseffective.本合同为中英文制，一式两份，买卖双方各执一份。传真签署有效。秘书之家—全网资源每日更新www.mishuzj.com17.附件为此合同不可分割的一部分。THEBUYER:KunmingDe-ZhongTradingCo.,Ltd.THESELLER:HongKongForeverTechnologyCo.,Ltd..序产品名称品牌规格型号数单位单价总价保修期123合计金额人民币（小写）合计金额人民币（大写）配置清单ATTACHMENT：
