秘书之家—全网资源每日更新www.mishuzj.com委托代理记账协议书AgentEngagementofAccountingDate:编号：甲方：PartyA:乙方：上海托特财务咨询有限公司PartyB:ShanghaiTHOTHConsultingCo.,Ltd.委托事由Recitals1.甲方希望委托乙方代理甲方的会计和税务工作；PartyAwishestoentrustPartyBasitsaccountingandtaxagent.2．乙方接受甲方的委托，根据《企业会计准则》、《中华人民共和国外商投资企业会计制度》、《中华人民共和国会计法》及财政、税务等有关法律、法规的规定，为甲方公司提供代理记账、财税咨询和税务申报代理服务。PartyBagreestoactasPartyA’saccountingandtaxagenttoprovidebookkeeping,financeconsultingandtaxagencyservicestoPartyAinaccordingwiththetermsandconditionssetoutinthisAgentEngagement(hereinafterreferredtoas“Agreement”)underAccountingLawofP.R.Chinaandrelevantrulesandregulations.1.权限申明AuthorityandJurisdiction1.1甲方委托并授权乙方完成下述协议条款2中所规定内容（以下称“委托项目”）；PartyAentrustsandauthorizesPartyBtoactasitsagenttoaccomplishtheitemssetoutinArticle2below(hereinafterreferredtoas“entrusteditems”).1.2以上条款规定的委托和授权任何时候都不被视为是本协议双方的合伙关系；TheentrustmentandauthorizationasstatedinArticle1.1aboveshouldnotatanytimeberegardedasthepartnershiprelationshipbetweenthepartiesofthisAgreement.1.3本协议的条款、作用和解释，因本协议引发争议的解决和本协议的执行受中国人民共和国法律约束。Anyarticles,effectandinterpretationofthisAgreementandthesettlementofdisputesarisingfromthisAgreementoritsperformanceshallbegovernedbythelawofthePeople’sRepublicofChina.2．责任范围和委托项目ResponsibilitiesandCommitments2.1甲方责任范围PartyA1)建立健全内部控制，保证资产的完整性；Toconstituteintegratedinternalcontrolsystemtoensuretheintegralityofaccountofcompanyassets.2)向乙方提供合法、真实、准确、完整的原始凭证，进行分类编号后交给乙方；Toprovidelegal,true,exactandwholeoriginalvoucherstoPartyBwhichhavebeensortedandnumbered.3)配备专人负责日常货币的收支和管理并编制货币收支流水账；Tomanagethedailyincomeandexpensesandmakemonetaryincomeandexpenditureaccountbyappointedcashier.4)负责原始凭证审核；Toresponsibleforauditofitsoriginalvouchers.5)每月3日前(逢节假日提前)向乙方提供公司记账所需资料；ToprovidealltherequireddocumentstoPartyBforbookkeepingbythethirddateofthemonth.(Thedeadlinewillbeadvancedaccordinglyifthedateisanationalholiday.)6)积极配合乙方指派的工作人员的工作，由乙方人员验收所提供的相关资料；TofullycooperatewithPartyB’sappointedaccountant;alltherelevantdocumentsshouldbecheckedandacceptedbyPartyB.7)按本协议的规定及时足额交纳代理费；TopayagentfeetoPartyBaccordingtothetimeframestatedinthisAgreement.8)按时足额缴存纳税款项；Topaytaxaccordingtothetimeframestatedbytaxauthority.秘书之家—全网资源每日更新www.mishuzj.com9)妥善保管所有原始凭证、财务报表及经税务机关审核后的纳税申报表等资料。Topreservealltheoriginalvouchers,financestatementsandtaxationsheets.2.2乙方责任范围PartyB1)指派财务专业人员负责交接收取记账所需财务资料；TocollectandtakebacktherequiredoriginalvouchersforbookkeepingbyPartyB’sappointedaccountant.2)复核甲方所提供原始凭证的合规性，并向甲方提供合法、合理性建议；TocheckPartyB’soriginalvouchersandprovidelegitimateandsuitablesuggestion.3)根据甲方提供的原始凭证按照中华人民共和国财政部制定的《企业会计准则》和《中华人民共和国外商投资企业会计制度》及其相关法律法规开展代理记账业务，编制记账凭证、账簿及会计报表，并合理保证会计处理与原始凭证的一致性；Toprovidebookkeepingagencyservicesaccordingto&havebeenpromulgatedbytheMinistryofFinanceofChinaandrelevantlawsandpolicies.Tomakeaccountingvouchers,accountingbooksandaccountingstatementstoensuretheconsistencyoftheaccountingtreatmentandtheoriginalvouchers.4)在税务机关规定期限内及时完成各类纳税申报表并在税务机关指定的工作日前完成税务申报工作；Topreparealltherequiredtaxsheetswithinstatedtermandreporttotaxauthorityaccordingtotaxauthority’srequirementintime.5)在财政和税务部门规定的期限内编制和上交《企业年度会计报表》和《企业所得税年度申报表》及其附表；Toprepareandhandinthe,etc.whichhavebeenassignedbyfinancialandtaxauthoritieswithinthestatedterm.6)年度终了，将甲方该年度的各类账簿、会计月报和税务月报装订成册退还甲方保管Attheendoftheyear,PartyBwillgivebackalltheboundaccountingbooks,accountingstatementsandtaxsheetstoPartyAforfiling.7)协助甲方完成税务机关检查事宜；ToassistPartyAinfinishingthetaxinspectionwiththetaxauthority.8)协助甲方完成企业工商年检手续。ToassistPartyAinfinishingforeigninvestmentcompany’sannualunioninspectionandrenewal.2.3乙方免费服务事项PartyB’sFreeServices1)在日常工作中，根据甲方的需要向甲方提供有关会计、税务以及人事、社会保险等方面的咨询和辅导；Toprovideconsultingandguidanceofaccounting,taxation,humanresourcesandsocialsecurityindailywork.2)及时将国家税务机关颁布的涉及到甲方各项税务事宜的法规政策反馈给甲方，并提供咨询和辅导；ToupdatePartyAwiththenewestlawsandpoliciesintermsoftaxationpromulgatedbytaxauthorityintime,andprovidingrelevantconsultantandguidance.3．费用及付费方式ProfessionalFees1)在甲方获得增值税一般纳税人之前，甲方应每月支付代理费人民币3000元（大写人民币叁千元整），代理费按年收取，每个年初支付下年度的代理费；BeforePartyAobtainsnormaltaxpayer(VAT)qualification,PartyAagreestopayPartyB3000RMB/monthforaccountingandtaxationagencyservices,itshallbepaidforeachyear.2)在甲方取得一般纳税人资格批准后，甲方应每月支付代理费人民币6000元（大写人民币陆千元整），代理费按季收取，每个季末支付下季度的代理费；AfterPartyAobtainstheapprovalofVATqualification,PartyAagreestopayPartyBRMB6000/monthforitsaccountingandtaxationagencyservices,itshallbepaidattheendofeveryquarterly.4．委托期限及终止PeriodofEngagementandTermination1)本协议有效期自年月日至年月日止,合计个月；ThisAgreementshallcomeintoeffectfromto,totalismonths.TherelationshipbetweenPartyAandPartyBshallcontinuewithinthetermoftheAgreement.2)如果甲方委托乙方代理申请一般纳税人资格，甲方承诺自获得一般纳税人资格批准之月起，继续维持与乙方的会计委托代理至少一年。如因甲方原因终止合同，乙方有权要求甲方需继续支付代理费直至合同到期。IfPartyAentrustsPartyBtoapplyfortheVATqualification,PartyAmustguarantee秘书之家—全网资源每日更新www.mishuzj.comengagementwithPartyBmorethan1year(beginningwhenPartyAobtainstheapprovalofVATqualification).PartyBrequestsPartyAtopaythefullengagementservicefeetoPartyBevenifPartyAterminatesthisreement.3)本协议签订后，任何一方如需终止本协议，必须提前30天以书面形式通知对方；AftersignedtheAgreement,eitherpartymayterminatethisAgreementbyprovidingwrittennoticeaheadof30days.4)如甲方已经向乙方支付费用用于完成或部分完成任何委托项目后，需要终止本协议的执行，乙方没有义务将这些费用归还给甲方；ShouldPartyAterminatethisAgreementaftermakingpaymenttoPartyBforcompletionorpartcompletionofanyoftheentrusteditems,PartyBisundernoobligationtoreturnanyofthesepaymentstoPartyA.5)如甲方终止本协议的执行，乙方有权要求甲方支付所有完成或部分完成的委托项目的政府规费和代理费；PartyBhastherighttorequestPartyAtopayPartyBforallgovernmentalchargesanditsprofessionalfeesforthoseentrusteditemsfullyorpartlycompletedbyPartyBifPartyAterminatesthisAgreement;6)任何由于乙方的错误或疏忽致使不能完成任何委托项目，甲方不必按照条款3的规定进一步向乙方支付费用，同时甲方原先支付的费用应该返还给甲方；IntheeventthatPartyBfailstocompleteanyoftheentrusteditemsduetoitsownfaultornegligence,PartyAshallnotberequiredtomakeanyfurtherpaymenttoPartyBasstipulatedinArticle3andpreviouspaymentmadebyPartyAshallbereturnedtoPartyAaccordingly.7)在代理过程中，如果由于中国政府相关部门改变法律或公布新的法规，致使委托项目办理延迟或不能完成，乙方不承担责任；PartyBshallnotbeheldliableifduringtheprocessofagencyservices,amendmentstothelawornewregulationsarepromulgatedbytheChineseauthorities,causingdelayornon-completionoftheitemsofentrustmentslaidoutinArticle2.2.8)协议期将近届满时，如需续约，双方应于协议到期前30天内，就甲方的实际经营状况及实际需要，适当调整委托服务项目和代理费用，并签订新的协议。WhiletheexpiredateofthisAgreementisapproaching,ifPartyAneedstorenewtheengagement,bothpartiescannegotiateandadjustentrusteditemsandagentfeebasedonPartyA’sbusinessstatus,andthensignanewAgreementin30daysadvance.5．违约责任Breachliability1)任何由于违反条款2中所规定的责任和义务而造成的后果，由违约方承担违约责任。AnyliabilitiesarisingasresultofbreachofresponsibilitydescribedinArticle2,shouldbeownedbythepartyresponsibleforthebreach.2)乙方并不承担以上免费服务事项的任何责任。PartyBshallnotberesponsibleforanyconsequentialliabilitiesforitsfreeservicesstatedinArticle2.3incasePartyAactedcontrarytotheadvicegivenbyPartyB.6．保密条款Confidentiality乙方对在代理过程中知悉的甲方的业务情况、公司状况及商业秘密负有保密责任。除法律另有规定者外，未经甲方书面同意，乙方不得将甲方提供的资料泄露给第三方。如本协议因故终止，本条款一直有效。PartyBshouldkeepconfidentialallofPartyA’sbusinessstatus,companyinformationandbusinesssecretwhichhavebeenknownduringtheprocessofagentservices.PartyBcannotleakPartyA’sbusinesssecrettothethirdpartywithoutPartyA’swrittenapproval,unlessotherwisestatedbyChineselaws.ThisarticleisalwayseffectiveifthisAgreementisterminatedbecauseofsomereasons.7．争议DisputeResolutionPAad因Arnd本ty:y协uAn议:re引s发olv的e任d何dis争p议ut，es可a以ris提in交g上fr海om市o仲r裁in委ci员de会nt，al按tPAo该adt会rdhti:的ysA仲Bg:裁r上e程e海m序托e进n特行t财s仲h务裁a咨ll。b询e有su限b公m司ittedtotheTeSlh:anghaiMunicipalArbitrationCommissionforarbiTtrealt:ioninaccordancewithitsrulesofAuprtohcoerdizuered.SignatureAuthorizedSignature:8．协议真实性AuthenticityofAgreement本协议一式两份，甲、乙双方各执一份，具有同等法律效力。DTahteis:Agreementcontainstwooriginalcopies;theseDcoapteie:sareheldbybothparties.BoththesignedcopiesofthisAgreementarelegallyboundingandequallyauthentic.
